DAVENPORT CENTRAL HIGH SCHOOL BAND & ORCHESTRA
ARTICLE I – DEFINITIONS
The following words and terms, as used in the By-Laws of Davenport Central High School Band and Orchestra Parents Association, Inc. shall, unless the context shall otherwise require, mean and be defined as:
a) “Association”: the aforementioned non-profit corporation.
b) “Member”: a person who is qualified for membership.
c) “Director”: a duly constituted member of the Board of Directors
d) “Executive Director”: the Director of Bands shall serve as the executive director
e) “Quorum”: simple majority of members in attendance.
f) “Principle Office”: that office maintained by the Association in this state, and the address is at Davenport Central High School, 1120 Main Street, Davenport, Iowa, 52803.
ARTICLE II – OFFICES AND AGENT
Section 1. Principle Office: The Principle Office of the Association shall be located in Davenport, Iowa.
Section 2. The Principle Office of the Association and the Agent may, from time to time, be changed by the Directors.
ARTICLE III – QUALIFICATIONS OF MEMBERS
Section 1. Membership shall be open to anyone supporting Davenport Central High School students who are participating in programs of the instrumental music department.
Section 2. Membership shall automatically be accorded the instrumental Director(s) by reason of their position(s).
ARTICLE IV – MEETING OF MEMBERS
Section 1. The regular meeting of the Board of Directors of the Association shall be held as designated by the Board of Directors. These meetings shall be open to the entire membership. General meetings will be called as needed.
Section 2. The April meeting shall be designated as the Annual Meeting.
SECTION V – THE BOARD OF DIRECTORS
Section 1. The Board of Directors shall consist of the elected officers, the Instrumental Director(s), and the Chairs of the Standing Committees.
Section 2. Meetings of the Board of Directors may be held preceding a general meeting, as required, or as called by the President.
Section 3. The Board of Directors shall plan and carry out the yearly program of the Association, with the approval of the membership, shall appoint a Nominating Committee, and shall fill all vacancies which occur within the Association.
Section 4. Powers: The Board of Directors shall:
a) Manage the affairs of the Association, except as otherwise provided in the Articles of Incorporation or By-Laws.
b) Designate a banking institution or institutions as depository for the Association’s funds, and the officers authorized to make withdrawals therefrom, and to execute obligations on behalf of the Association.
SECTION VI – OFFICERS AND THEIR ELECTIONS
Section 1. The elective officers shall be: President, Band Vice-President, Orchestra Vice-President, Band Secretary, Orchestra Secretary, Accounts Payable Treasurer and Accounts Receivable Treasurer.
Section 2. The Nominating Committee shall present the slate of officers to the membership at the Annual Meeting to be voted on at that time.
Section 3. Prior to the election at the Annual Meeting, nominations for officers may be made from the floor.
Section 4. The consent of the person must be obtained prior to placing that person’s name in nomination for any office.
Section 5. Officers shall be elected annually and shall assume their duties May 1. There shall be a training period from the election date until May 31 for the new officers. A majority vote of the members present at the Annual Meeting shall be required for election of an officer.
Section 6. If there be more than one nominee for any office, voting shall be by ballot and a majority of the votes cast shall be necessary for election.
Section 7. More than one person may occupy a board position in a title of “co”, however, work, duties, and responsibilities shall be distributed evenly. “Co” positions are at the discretion of the Executive Director.
Section 8. No officers may receive any remuneration for their duties as such.
ARTICLE VII – DUTIES OF OFFICERS
Section 1. President: The President shall be the official representative of the Association and its principle executive officer. The President shall preside over all general meetings, board meetings, and shall call special meetings as deemed necessary or desirable. With the approval of the Board, the President shall name appointive officers, the chairs of all committees, except the Nominating Committee and those provided for by election. The President shall be an ex-officio member of all committees and perform all the other duties pertaining to the office. It shall be the duty of the President to confirm that the Treasurer has filed the annual report with the Secretary of State of the State of Iowa, prior to March 31, and appoint an auditor for the Treasurer’s books.
Section 2. Band Vice-President: The Band Vice-President shall preside at meetings in the absence of the President and act for the President in case of absence or disability.
Section 3. Orchestra Vice-President: The Orchestra Vice-President shall preside as President at all Orchestra Parent Meetings and report to the Association President.
Section 4. Band Secretary: The Band Secretary shall keep a record of all meetings of the Band Association, see that all notices are given, maintain all correspondence relating to the Band Association and assist with other duties as my be assigned by the Directors. The Band Secretary will share recording responsibilities for general Association meetings with the Orchestra Secretary.
Section 5. Orchestra Secretary: The Orchestra Secretary shall keep a record of all meetings of the Orchestra Association, see that all notices are given, maintain all correspondence relating to the Orchestra Association and assist with other duties as may be assigned by the Directors. The Orchestra Secretary will share recording responsibilities for general Association meetings with the Band Secretary.
Section 6. Treasurer: The Treasurer shall have charge and custody of and be responsible for all funds of the Association, receive and give receipts for moneys due and payable to the Association, and deposit all such funds in the name of the Association in such bank as shall be selected by the Board of Directors. The Treasurer shall pay bills when properly verified by the Board of Directors and must keep a proper set of books, rendering a monthly account to the Board of Directors and/or members. It shall be the duty of the Treasurer to file the annual report with the Secretary of State and the State of Iowa between the 1st day of January and the 31st day of March of each year. The treasurer shall maintain a separate uniform savings account.
ARTICLE VIII – COMMITTEES AND CHAIRS
Section 1. Standing Committee: The Band and Orchestra will each have the following committees:
a) Uniform Committee: The Uniform Committee shall be in charge of passing out uniforms to students after fees have been paid, receiving uniforms from students at the marching band season, and shall be responsible for care and replacement of said uniforms.
b) Fund Raising Committees: The Executive Board shall be charged with the responsibility of working with the instrumental directors and Board of Directors in attempting to provide finances for uniforms, awards, and various projects.
c) Other Committees: The President may, as need arises, appoint special committees.
Section 2. Nominating Committee: The Nominating Committee composed of seven members, the President, the Orchestra Vice-President, one chair of a standing committee, two members-at-large (one band parent and one orchestra parent), and the instrumental directors, shall prepare a slate of nominee for the officers and committee heads to be presented to the membership at the Annual meeting.
Section 3. Committee Chairs: The Chairs of all committees, both Standing and Special, with the exception of the Nominating Committee and those provided by election, s hall be appointed by the President, with the approval of the Board of Directors, Chairs, in consultation with the President, shall select such members of their committees as they deem necessary. The chairs shall formulate plans, in consultation with their committee members and with the approval of the Board of Directors, for carrying out their work and shall report periodically to the Directors and the membership as called upon. Chairs shall collect all moneys, keep appropriate financial records, and compile all deposits for presentations to the Treasurer. Chairs shall submit a written report, in duplicate, summarizing activities and/or finances of said Committee to the President.
ARTICLE IX – DATE OF EXISTENCE AND THE FISCAL PERIOD
This organization was formed on September 5, 1973. The fiscal year of this Association shall begin on the 1st day of July and shall end the 30th day of June.
ARTICLE X – USE OF FUNDS
Section 1. Estimated expenses for the fiscal year must be submitted to the Treasurer by May 1. The Treasurer shall present a budget to the Board of Directors for approval.
Section 2. Changes concerning operating expenses or budget must be approved by the Board of Directors
ARTICLE XI – QUORUM
No quorum is necessary to transact business of the Association. Majority vote of members present at regular or special meetings is required.
ARTICLE XII – AMENDMENTS TO THE BY-LAWS
Section 1. An amendment to the By-Laws may be proposed by any member of the Association
Section 2. A written copy of a proposed amendment shall be presented to the membership at one of the general meetings and read aloud to the membership to be voted upon by the end of the meeting.
Section 3. A two-thirds (2/3) vote of the members present shall be necessary to adopt an amendment to the By-Laws.
ARTICLE XIII – DISBANDMENT
If for any reason this Association shall be disbanded, the funds are to be transferred to the Davenport Central High School Instrumental Department, Davenport, Iowa. Disbandment is at the discretion of the executive director.
ARTICLE XIV – RULES OF ORDER
Roberts Rules of Order, Revised, shall govern this Association in all cases not provided for in the By-Laws.
